1. Agreement to Terms

Welcome to Sajjan Studio. These Terms and Conditions constitute a legally binding agreement making up the relationship between you, whether personally or on behalf of an entity ("Client", "you", or "your") and Sajjan Studio ("Company", "we", "us", or "our"), concerning your access to and use of our services, website, customized software applications, mobile applications, and IT consulting portals.

By accessing the Site or engaging our development services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms and conditions, then you are expressly prohibited from using the Site and our services and you must discontinue use immediately. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason.

2. Definitions

• "Deliverables" refers to the software, web applications, mobile apps, source code, UI/UX designs, and documentation created by Sajjan Studio for the Client.
• "Project Scope" refers to the detailed technical specifications and requirements agreed upon in writing before the commencement of development.
• "Sprint" refers to a set period of time during which specific work has to be completed and made ready for review, as per Agile methodology.

3. Scope of Services & IT Solutions

Sajjan Studio provides comprehensive IT solutions, operating globally since 2014. Our core services include, but are not limited to, the architecture, design, and deployment of:

• Custom Enterprise Software and Web Applications (utilizing modern frameworks such as PHP, Laravel, and JavaScript libraries).
• Mobile Application Development (iOS and Android).
• Cloud Infrastructure setup, DevOps, and Server Maintenance.
• UI/UX Design and Prototyping.

Any additional services requested outside the mutually agreed "Project Scope" will be subject to separate estimation, billing, and timeline adjustments.

4. Intellectual Property Rights

Unless otherwise directly stated, the Site and internal tools are our proprietary property. All source code, databases, software functionality, web designs, audio, video, text, UI/UX designs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us.

For commissioned projects, any proprietary web applications, modules, or mobile apps built specifically for a client will be formally handed over via a mutually signed NDA (Non-Disclosure Agreement) and IP Transfer Document. This explicit transfer of Intellectual Property rights to the Client occurs strictly upon full and final payment clearance of all outstanding invoices. Sajjan Studio reserves the right to retain underlying open-source libraries, generic PHP/Laravel boilerplates, and reusable code snippets that do not contain the Client's proprietary business logic.

6. Service Delivery & Revisions

Sajjan Studio utilizes an Agile software development framework to ensure transparency, flexibility, and continuous delivery. We divide large enterprise architectures into manageable "Sprints".

• Wireframing & Prototyping: UI/UX design mockups must be thoroughly reviewed and explicitly approved by the client before backend coding and database structuring begins.
• Revisions: Minor revisions during the active Sprint development phase are accommodated without charge. Massive restructuring, change of core logic, or database schema alterations requested post-approval will be categorized as "Scope Creep" and will incur technical debt fees based on our hourly rates.
• Hosting & DevOps: We utilize top-tier cloud providers (AWS, Google Cloud) and modern deployment pipelines (Docker). Server architecture, monthly maintenance costs, and scaling fees are not included in primary development quotas unless the Client opts-in for an Annual Maintenance Contract (AMC) or "Dedicated Support" tier.

7. Payment Terms and Financial Obligations

Project costs are divided into clear milestones outlined in the initial commercial proposal. A standard non-refundable mobilization advance (typically 30% to 50%) is required to commence project architecture.

Invoices are payable within seven (7) business days of receipt. Late payments may result in the suspension of active development, pausing of staging servers, and withholding of source code deliverables. All international banking fees, transfer charges, and local taxes are the responsibility of the Client. Sajjan Studio accepts payments via bank wire transfer, verified international payment gateways, and institutional cheques.

8. User Representation & Responsibilities

By using Sajjan Studio networks and engaging our development teams, you represent and warrant that:

1. All registration, technical, and business information you submit via quoting forms will be true, accurate, current, and complete.
2. You will maintain the accuracy of such information and promptly update it as necessary.
3. You have the legal capacity and authority to enter into these Terms and bind your respective organization.
4. You own or have secured the necessary licenses for all third-party assets, APIs, images, and brand guidelines provided to us for inclusion in your software.

9. Limitation of Liability and Disclaimers

The Service, including deployed codebases and servers, is provided on an AS-IS and AS-AVAILABLE basis. You agree that your use of the site and our services will be at your sole risk.

In no event will Sajjan Studio, our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, security breaches of third-party APIs, or other damages arising from your usage of the codebases we deploy, even if we have been advised of the possibility of such damages. Our total cumulative liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the three (3) month period prior to any cause of action arising.

Security Notice: While we implement robust security protocols, zero-day vulnerabilities exist in all software. We strongly recommend all clients to securely backup PostgreSQL, MySQL, or MongoDB databases frequently, despite our AWS fail-safe mechanics, and invest in ongoing security patch retainers.

10. Termination of Services

Either party may terminate the development agreement with a 15-day written notice if the other party breaches a material term of this agreement and fails to cure the breach. Upon termination, the Client shall pay for all hours logged and milestones completed up to the date of termination. Sajjan Studio will package and hand over the current state of the source code corresponding to the compensated milestones.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and defined following the laws of Pakistan. Sajjan Studio and yourself irrevocably consent that the courts of Pakistan shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms. For international clients, disputes may be referred to binding arbitration before pursuing formal litigation, to be conducted in a mutually agreed jurisdiction.
